Hufvudstaden has two share classes, Series A and Series C. Both classes are listed on the Nordic Exchange in Stockholm. Series A shares carry one vote per share and the trading lot is 500 shares. Series C shares carry 100 votes per share and the trading lot is 500 shares. According to a conversion reservation in the Articles of Association, holders of Series C shares are entitled, if they wish, to request conversion of their Series C shares into Series A shares.
The share capital is SEK 1,056.4 million, broken down into 202,996,869 A shares and 8,275,064 C shares, making a total of 211,271,933 shares. At the 2007 Annual Meeting, the Board was given a renewed mandate to buy back up to 10 per cent of the issued shares and to assign company shares. On December 31, 2006 Hufvudstaden held 5,006,000 A shares, equivalent to 2.4 per cent of the total number of issued shares. The total number of outstanding shares as of December 31, 2006 was thus 206,265,933.
The number of shareholders is approximately 19,700. The largest shareholder is L E Lundbergföretagen with 45.2 per cent of the outstanding shares and 88.0 per cent of the votes.
